In order to enroll and provide quotes to prospects generated on the Tell Vision Lead generating Engines, these terms and conditions must be acknowledged and agreed to. By checking that you agree to the terms and conditions you, the vendor, agree that you have read these terms and conditions. The terms and conditions of this agreement can be changed at any time without notification, and it is the responsibility of the participating Vendor to evaluate these terms and conditions on a continual basis. Changes will generally be announced via email correspondence.

You Need To Know

We do not guarantee to provide you any specific number of Leads.
We do not make guarantees, representations or warranties regarding a customer's level of interest, their ability to pay you, how accurate the customer's information is, or that any customers will hire you to perform services.

We do not guarantee your level of success with any of the leads we supply. We are not involved in, nor do we have any responsibility for your contracts with customers, their creditworthiness, or any payments to you or any disputes they may have with you or you may have with them.

By joining any Tell Vision Lead generating engine you certify that you are licensed to conduct business in the state or service area you will request leads for. You must be qualified and capable of performing the services, trade, or tasks you will request leads for. You must be at all times properly and fully licensed, bonded and insured under all applicable laws, industry standards and trade regulations.

Pay Per Lead

Tell Vision's pay per lead program is simple. There is no fixed weekly cost, you are simply charged on a per-lead basis with a predetermined cap. Tell Vision assumes the full costs of all online marketing. You only pay for the pre-determined, pre-qualified leads you receive each week. You can cancel the service at any time. You are however obligated to pay for any leads you have received up to that point.

Sales leads generated and provided to you will be contacted by your organization only to provide your agreed upon services according to the information provided by the prospective customer and in compliance of the terms and conditions of your membership as a Tell Vision Vendor. This prospective customers information is not to be re-sold or used for telemarketing, continuous unsolicited mailings, whether these mailings are electronic or snail mail.

Lead Delivery

All Tell Vision Vendors agree to maintain a valid email address for the purpose of lead delivery. Venders are to inform us immediately of any changes in email address or personnel responsible for handling the leads.

Caps

Our Pay Per Lead program features a predetermined cap on your monthly or weekly cost for qualified leads. You will never exceed the predetermined monthly or weekly cap of leads. Each month will begin at 12:01 AM on the first calendar day and ends at 11:59 PM on the last calendar day of that month. Each week will begin at 12:01 AM Monday and end at 11:59 PM on the following Monday.

Lead Cost

A lead is defined as every completed customer request form with predetermined agreed requirements submitted from our web site to your provided email address. The contact form with all the agreed upon fields must all be filled out completely to constitute a qualified lead. Those particular fields will be determined in the lead filter area of the original enrolment form.

Exclusive Market Area

Depending on the agreed upon program select Tell Vision Vendors will have the exclusive rights to all the leads generated in the agreed upon geographical service area listed in the lead filter area of the original enrolment form.

Fees and Charges

Tell Vision accepts payment for the Service by credit card only. You must provide Tell Vision with current, valid credit card account information at the time that You first subscribe to the Service. Payments are made using one of the major credit cards: Visa, Master Card, and American Express. Vendors agree to maintain a valid credit card on file and to notify Tell Vision of any changes that may affect billing. Credit Cards will be charged weekly for leads received over the previous 7 days. The invoicing cycle is as follows: One week Monday thru Sunday credit cards charged on Thursday for the previous weeks activity. Statement will be emailed on a weekly basis as well.

Lead Dispute

Tell Vision Vendors may dispute sales leads by using our easy online dispute component. Tell Vision lead generating engines will filter a majority of fake leads, occasionally some unqualified leads can slip through unnoticed. Leads that contain bad contact information, fictitious information, and/ or obscenities will be evaluated by Tell Vision and credited upon confirmation.

Leads must be disputed with-in 72 hours of receipt. If the email is not opened in that 72 hour period the lead will become valid and charged to the vendors account.

The following criteria constitute an Invalid lead:

     Leads submitted by Minors
     Duplicate leads (within 30 days)
     Invalid phone number AND email on the lead
     Erroneous name on the lead

Participating vendors agree that leads that do not close for reasons such as price, options, timing of purchase, etc are not considered invalid, and may not be returned. Tell Vision reserves sole discretion as to determine validity of a lead.

Pay As You Go Lead Dispute

Participating vendors agree that leads that do not close for reasons such as price, options, timing of purchase, etc are not considered invalid, and may not be returned. Upon validating a Vendors dispute Tell Vision will provide a replacement lead voucher to be used by the Vendor at any time for a period of 1 year from the dispute date.

Cancellation Terms

Tell Vision, it’s subsidiaries and the participating vendor reserve the right to cancel this agreement and services at any time. The Vendor agrees that cancellation of agreement shall be made in writing by e-mail, fax, certified mail or in-person. Tell Vision’s Reasons for termination of service may include but are not limited to:

     nonpayment of bills
     three or more consumer complaints issued against Advertiser
     unethical or immoral behavior

Service Use

The Service may be used only for lawful purposes. Tell Vision specifically prohibits any use of the Service for unlawful purposes, and vendors agree not to use the Service for any unlawful purposes, or for posting any incomplete, false or inaccurate information, or any obscene, indecent or offensive language or to place on the Service any material that is false, defamatory, abusive, harassing or hateful. In addition, each user agrees not to (1) rent, transfer, distribute or grant any rights in the Service in any form; or (2) use the Service for any purpose that Tell Vision deems to be inappropriate.

You acknowledge and agree that all of the content and information posted on the Tell Vision family of web sites, is the sole and exclusive property of Tell Vision. You acknowledge and agree that you have no right to reproduce, or otherwise use any of the content.

Execution, Governance, and Jurisdiction

You will be liable for any attorneys' fees and costs if we have to take any legal action (including the retention of a lawyer) to enforce this Agreement. You hereby consent and agree that the state or federal courts in Michigan are the exclusive forum for litigation of any claim by you arising under this Agreement, and you submit to sole and exclusive jurisdiction in the state of Michigan, and hereby irrevocably waive and relinquish any right to bring, or cause to be brought, any such action, or to have any such action brought, in any judicial or administrative forum outside of such forum.

Indemnification

Participating Vendors agree to indemnify and hold Tell Vision its subsidiaries, affiliates, officers, directors, agents, and employees, harmless for any and all claims, demands, obligations, liabilities, violations, charges, grievances and causes of action, in law or equity, and any and all infringements or allegations of any nature, and any and all injuries losses or damages of any nature which arise in any way from your participation in the Tell Vision-Yadaya program, or from any Customer for which you received a Customer Project.
